GENERAL TERMS AND CONDITIONS OF SALE (GTC) – SUMO CYCLEWORKS

1. Purpose and Scope
These General Terms and Conditions of Sale ("GTC") govern the sales of products made on the website www.sumocycleworks.com by SUMO CYCLEWORKS to its customers.
They apply to all orders placed on the website.
The Customer acknowledges having read these GTC before validating their order. The validation of the order implies full and unreserved acceptance of these GTC.
The applicable GTC are those in force on the date of the order.
SUMO CYCLEWORKS reserves the right to modify these GTC at any time, provided that these modifications do not apply retroactively to orders already validated.

3. Products
The products offered for sale are those presented on the website www.sumocycleworks.com within the limits of available stock.
SUMO CYCLEWORKS takes the utmost care in the presentation and description of its products.
The photographs, illustrations, colors, and renderings present on the website are provided for informational purposes only and may show slight differences from the product actually delivered, particularly due to screen settings, manufacturing processes, materials, or finishes.
Certain finishes, notably raw, polished, anodized, painted, or chromed finishes, may present slight variations in appearance inherent to the manufacturing process. These variations do not necessarily constitute a non-conformity defect when they do not affect either the use or the essential characteristics of the Product.
The Customer is obliged to familiarize themselves with the technical characteristics, dimensions, and compatibilities indicated on the Product sheet before placing an order.
In case of doubt concerning the compatibility of a Product with a bicycle or another component, the Customer is invited to contact SUMO CYCLEWORKS before ordering.
4. Product Availability
Product offers are valid within the limits of available stock.
In the event of exceptional unavailability of a Product after order validation, SUMO CYCLEWORKS will inform the Customer as soon as possible.
The Customer may then be offered, depending on the circumstances, a refund for the unavailable Product or an alternative solution with their agreement.
In case of cancellation, the sums paid for the unavailable Product will be refunded.
5. Orders
The Customer selects the Products they wish to purchase and adds them to their cart.
Before final validation, the Customer can check the details of their order, its total price, and correct any errors.
The final validation of the order and payment constitutes the conclusion of the sales contract.
An order confirmation is sent to the Customer at the email address provided when placing the order.
The Customer is responsible for the accuracy of the information provided when placing their order, including their contact details, delivery address, and, when necessary, their telephone number.
SUMO CYCLEWORKS cannot be held responsible for the consequences resulting from incorrect or incomplete information provided by the Customer.
SUMO CYCLEWORKS reserves the right to refuse or cancel an order for a legitimate reason, notably in the event of:
- payment incident;
- suspicion of fraud;
- an obviously abnormal order;
- unresolved previous dispute with the Customer;
- a manifest error concerning the price or availability of a Product.
6. Price
The applicable prices are those displayed on the website at the time of the order.
Unless otherwise indicated, prices are displayed in euros (€), all taxes included when French VAT is applicable.
Delivery costs are calculated separately and indicated to the Customer before the final validation of the order.
SUMO CYCLEWORKS reserves the right to modify its prices at any time. However, a price modification cannot affect an already validated order.
In the event of a manifest pricing error, particularly due to a computer or typographical error, SUMO CYCLEWORKS may cancel the order concerned and fully refund the Customer.
7. Payment
Payment is made at the time of order by one of the payment methods offered on the website.
Transactions are carried out through the payment providers offered on the website.
SUMO CYCLEWORKS does not necessarily receive the Customer's complete banking data directly.
The order will only be prepared and dispatched after payment validation.
In case of refusal or failure of payment, the order may be automatically canceled.
8. Delivery
Products are delivered to the address provided by the Customer when placing their order or, when this option is offered, to the selected pickup point.
The Customer must carefully check their address before validating the order.
SUMO CYCLEWORKS cannot be held responsible for any delay or inability to deliver resulting from an incorrect or incomplete address provided by the Customer.
Estimated delivery times or dates are indicated during the order process or in the delivery information available on the website.
SUMO CYCLEWORKS undertakes to dispatch and deliver orders in accordance with the deadlines provided by the applicable regulations.
Where the Consumer Code applies and no delivery date or deadline has been indicated, delivery shall occur without undue delay and at the latest thirty days after the conclusion of the contract.
In case of delivery delay, the Customer benefits from the rights provided by applicable legislation and may notably, when the legal conditions are met, request the termination of the contract.
9. International Delivery – Taxes and Customs Duties
SUMO CYCLEWORKS delivers to various countries according to the destinations available on the website.
For deliveries to countries outside the European Union, customs duties, import taxes, handling fees, or other local charges may be required upon package arrival.
Unless otherwise indicated during the order, these fees are not included in the price paid to SUMO CYCLEWORKS and remain the responsibility of the recipient.
The Customer is responsible for inquiring about the import regulations applicable in their country.
In the event of the package being refused by the Customer due to customs duties, taxes, or import fees, SUMO CYCLEWORKS may deduct from the refund the actual costs incurred due to the return, within the limits permitted by applicable regulations.
10. Receipt and Transport
When the Customer is a consumer, the risk of loss or damage to the Product is transferred to them when they physically take possession of the Product, subject to applicable legal provisions.
The Customer is invited to carefully check the condition of the package and the Products upon receipt.
In the event of a damaged Product, a deteriorated package, or a missing item, the Customer is invited to contact SUMO CYCLEWORKS promptly, providing, where possible, photographs of the package, its packaging, and the affected Product.
The absence of a reservation made to the carrier upon delivery does not deprive the consumer of their legal guarantees.
11. Right of Withdrawal
When acting as a consumer and in accordance with the provisions of the Consumer Code, the Customer has a period of 14 days from receipt of the Product to exercise their right of withdrawal, without having to justify their decision.
To exercise this right, the Customer must inform SUMO CYCLEWORKS of their decision to withdraw by means of an unambiguous statement sent to:
The Customer then has the applicable legal period to return the Product.
Direct return costs remain the responsibility of the Customer, unless the error is attributable to SUMO CYCLEWORKS or the Product is defective/non-conforming.
The Customer is responsible for any diminished value of the Product resulting from handling other than what is necessary to establish its nature, characteristics, and proper functioning.
The Customer is therefore invited to return the complete Product, properly protected and, as far as possible, in its original packaging.
SUMO CYCLEWORKS will refund the sums due in accordance with the deadlines provided by the Consumer Code and may defer the refund until the Product is recovered or until the Customer provides proof of its shipment, the date retained being the first of these events.
The refund is made using the same payment method as that used for the order, unless the Customer expressly agrees to another refund method.
12. Exceptions to the Right of Withdrawal
In accordance with Article L.221-28 of the Consumer Code, the right of withdrawal cannot notably be exercised for Products made to the Customer's specifications or clearly personalized.
This exception may particularly concern certain Products made specifically at the Customer's request when they do not correspond to the configurations normally offered for sale.
The simple choice of a standard variant offered on the website (size, color, or finish available in the catalog, for example) does not necessarily constitute personalization excluding the right of withdrawal.

The Product must be properly packaged to prevent any damage during its return transport.
In the context of a withdrawal, the costs and risks associated with the return are borne in accordance with applicable legal provisions.
SUMO CYCLEWORKS recommends that the Customer keep proof of shipment and use a shipping method that allows package tracking.
A Product that has undergone depreciation due to handling beyond what is necessary to ascertain its nature, characteristics, and functioning may be subject to a retention corresponding to this depreciation, in accordance with applicable regulations.
14. Legal Warranties
Products sold by SUMO CYCLEWORKS benefit from applicable legal warranties.
Legal Conformity Warranty
When the Customer is a consumer, they benefit from the legal conformity warranty provided for in articles L.217-3 et seq. of the Consumer Code.
This warranty applies for a period of two years from the delivery of the Product under the conditions provided by law.
In case of non-conformity, the Customer benefits from the remedies provided by the Consumer Code, notably the conformity of the Product by repair or replacement when these solutions are possible and proportionate.
Warranty against Hidden Defects
The Customer also benefits from the warranty against hidden defects provided for in articles 1641 et seq. of the Civil Code.
When the conditions for this warranty are met, the Customer may request the cancellation of the sale or a reduction in price in accordance with legal provisions.

15. Product Assembly, Use, and Compatibility
Some products sold by SUMO CYCLEWORKS are technical components intended to be mounted on bicycles.
The Customer must comply with the technical characteristics, dimensions, compatibilities, tightening torques, assembly instructions, and conditions of use communicated by SUMO CYCLEWORKS or by the manufacturers of the components concerned.
When the nature of the Product requires it, SUMO CYCLEWORKS recommends that the assembly and inspection of the Product be carried out by a qualified professional.
SUMO CYCLEWORKS cannot be held responsible for damages directly attributable to:
- incorrect assembly;
- non-compliance with assembly or use instructions;
- use of a Product with incompatible components;
- unauthorized modification of the Product;
- abnormal or manifestly inappropriate use of the Product;
- normal wear and tear of the Product;
- lack of maintenance attributable to the user.
These provisions do not limit or exclude the legal warranties or imperative rights enjoyed by the consumer.
16. Liability
SUMO CYCLEWORKS is responsible for the proper execution of its obligations in accordance with applicable regulations.
However, SUMO CYCLEWORKS cannot be held responsible for damages resulting from improper use of the Product, incorrect assembly, modification of the Product, non-compliance with instructions, or incompatibility of which the Customer was or reasonably should have been aware.
No provision of these GTC shall have the effect of excluding or limiting the rights imperatively enjoyed by a consumer under applicable legislation.
17. Force Majeure
SUMO CYCLEWORKS cannot be held responsible for any delay or non-performance of its obligations when such delay or non-performance results from an event meeting the legal conditions of force majeure.
If the impediment is temporary, the performance of the obligation is suspended for the duration of the impediment, unless the delay justifies the termination of the contract in accordance with the applicable regulations.
18. Personal Data
SUMO CYCLEWORKS collects personal data necessary for, in particular:
- order management;
- invoicing;
- delivery;
- after-sales service management;
- fraud prevention;
- compliance with its legal obligations;
- sending commercial communications when authorized.
Data is processed in accordance with the General Data Protection Regulation (GDPR) and applicable French legislation.
The Customer benefits, in particular, under the conditions provided for by the regulations, from rights of access, rectification, erasure, restriction, opposition, and portability of their data.
These rights can be exercised by contacting:
Proof of identity may be requested only when necessary to verify the identity of the person exercising their rights.
Data is retained for a period appropriate to its purpose and applicable legal obligations. Certain information, particularly billing data, may be archived for the period required by regulation.
The Customer may also lodge a complaint with the French data protection authority (Commission nationale de l’informatique et des libertés – CNIL).

19. Intellectual Property
All elements present on the website www.sumocycleworks.com, including trademarks, logos, photographs, illustrations, graphics, texts, videos, designs, and visual elements, are protected by intellectual property rules.
Unless prior written authorization is granted, any reproduction, representation, modification, distribution, or exploitation, in whole or in part, of these elements is prohibited if it infringes upon the rights of SUMO CYCLEWORKS or their respective owners.

21. Consumer Mediation
In accordance with the provisions of the Consumer Code, the consumer Customer has the possibility to resort free of charge to a consumer mediator in order to seek an amicable resolution to a dispute with SUMO CYCLEWORKS, after having first sent a written complaint to SUMO CYCLEWORKS.
22. Applicable Law and Dispute Resolution
These General Terms and Conditions of Sale are governed by French law.
In case of difficulty, the Customer is invited to contact SUMO CYCLEWORKS to seek an amicable solution first.
When the Customer is a consumer, mandatory legal rules regarding jurisdictional competence remain applicable.
In particular, no provision of these GTC deprives a consumer of the right to bring an action before the competent courts under the applicable legal rules.
For sales concluded with a professional Customer, any dispute relating to the formation, interpretation, or performance of the contract may be submitted to the competent jurisdiction determined in accordance with the applicable rules and, when a jurisdiction clause is legally valid, to the one designated in the conditions applicable to professionals.
23. Partial Invalidity
Should any provision of these GTC be declared null, illegal, or unenforceable, the other provisions shall remain applicable to the fullest extent permitted by law.
